Elon Musk has escalated his ongoing legal dispute with OpenAI, the company behind ChatGPT, by filing an amended lawsuit that includes federal antitrust claims. This significant development also names Microsoft, a major financial backer of OpenAI, as a co-defendant.

Filed in federal court in Oakland, California, the updated lawsuit alleges monopolistic behavior and claims that the partnership between OpenAI and Microsoft unfairly stifles competition in the generative AI industry.

Federal Antitrust Allegations Against OpenAI and Microsoft

Musk’s lawsuit alleges that Microsoft’s substantial investment in OpenAI—coupled with exclusive licensing agreements—creates an unfair competitive environment. The legal filing describes this arrangement as an undeclared merger, bypassing regulatory scrutiny while consolidating control over the generative AI market.

According to the lawsuit, these actions leave smaller competitors at a disadvantage, blocking them from partnerships and innovation opportunities. Musk’s legal team characterizes OpenAI’s transformation from a nonprofit organization to a for-profit tech giant as unprecedented, stating, “Never before has a corporation gone from tax-exempt charity to a $157 billion for-profit, market-paralysing gorgon—and in just eight years.”

The lawsuit calls for the nullification of Microsoft and OpenAI’s licensing agreements and demands that any profits gained through these practices be surrendered.

OpenAI and Microsoft Push Back

In response to the allegations, OpenAI has dismissed the lawsuit as “baseless and overreaching.” Microsoft has refrained from direct comment on the ongoing litigation but has previously expressed confidence in its partnership with OpenAI.

Marc Toberoff, representing Musk, countered these dismissals by advocating for greater transparency in the relationship between OpenAI and Microsoft. Toberoff remarked, “Sunlight is the best disinfectant.”
